PCPwebdesign.uk is operated by PCP Web Design Limited, registered in England under company number 10704325. Our registered office and main trading address are at 253 Mill Road, Deal, Kent, CT14 9BQ. We are not VAT registered.

By purchasing goods and/or services from PCP Web Design Limited, you enter into a legally binding contract with us under the following terms. Please read and understand these terms as they affect your rights and liabilities.

DEFINITIONS

  • Hosting Provider Company (HPC): Specialist companies, such as Fasthosts, from whom PCP Web Design Limited contracts their Dedicated and shared Web Servers.
  • Project: Any website, database system, search engine optimization work, letterhead, or other service provided by PCP Web Design to the Customer.
  • Frustrates: Actions by one party to a contract that make it unrealistic for the other party to fulfill their part of the contract.
  • Contract: The agreement between PCP Web Design Limited and the Customer, based on the terms and conditions contained within this document.

ABBREVIATIONS

  • SLA: Service Level Agreement.
  • ISP: Internet Service Provider.
  • HPC: Hosting Provider Company.
  • AUP: Acceptable Usage Policy.

CONTRACT

These Terms and Conditions apply to all PCP Web Design customers unless agreed otherwise in writing. No other contract terms shall apply unless specifically agreed in writing between PCP Web Design and the Customer. In case of any ambiguity between these Terms and Conditions and any terms agreed in writing, these Terms and Conditions will prevail.

Our standard SLA applies to all customers unless specifically agreed otherwise in writing. The Customer may not assign the benefit of the Contract without the written consent of PCP Web Design.

The Contract shall be governed by the laws of England. The Uniform Laws on the International Sale of Goods (1980 United Nations Convention) shall not apply unless expressly agreed in writing.

BASIS OF SALE

PCP Web Design employees or agents are not authorized to make any representations or claims concerning the Service/Product unless confirmed in writing by PCP Web Design. By entering into the Contract, the Customer acknowledges that they do not rely on, and waive any claim for breach of, any such representations that are not confirmed in writing.

Any typographical, clerical, or other accidental errors or omissions in sales literature, quotations, price lists, acceptance of offers, invoices, or other documents issued by PCP Web Design shall be subject to correction without any liability on the part of PCP Web Design.

ORDERS AND SPECIFICATIONS

No order submitted by the Customer shall be deemed accepted by PCP Web Design unless confirmed in writing by an authorized representative.

The specification for the Products/Services shall be those set out in PCP Web Design’s sales documentation. PCP Web Design reserves the right to make changes in the specification of the Products/Services.

ESTIMATES

PCP Web Design will provide initial estimates for Projects upon request. The final Project sum may vary from the initial estimate. Work carried out against estimates will be charged according to Clause 11 (Hourly Rate Charges and Pricing).

Estimates will be provided in writing by post or email, including a hyperlink to or hardcopy of these Terms and Conditions and our SLA. Acceptance of an estimate is subject to acceptance of these Terms and Conditions and our SLA, unless specifically agreed otherwise in writing.

FIXED PRICE QUOTATIONS

Whenever possible, PCP Web Design will provide a fixed price quotation and detailed specification for a Project. Items omitted or added to the specification will be treated as variations in accordance with Clause 9 (Variations).

Fixed Price Quotations are valid for a maximum of 3 months unless otherwise stated.

VARIATIONS

The value of work included in a Fixed Price Quotation specification that is omitted will be deducted from the final project sum. Additional work will be valued and added to the final project sum.

COPYRIGHT/OWNERSHIP

The source code of all website pages provided for Customer use on a license basis remains the intellectual property of PCP Web Design and may not be copied or used by any other party without consent.

Scripts, CSS, content, and include files used within Customer websites remain the intellectual property of PCP Web Design. The stored procedures, functions, and triggers programmed into SQL Databases also remain the intellectual property of PCP Web Design.

Customer logos, images unique to the Customer, and written content provided by the Customer belong to the Customer and are covered under their copyright.

PCP Web Design shall not be responsible for any copyright infringements as a result of material provided by the Customer.

HOURLY RATE CHARGES AND PRICING

Services not included in any quotation or under Clause 12 (Hosting) will be charged based on PCP Web Design’s standard hourly rate, unless a different rate is agreed in writing.

PCP Web Design reserves the right to review and increase their standard hourly rate at any time. There will be a minimum charge of 30 minutes.

The price of Products/Services shall be the price listed in PCP Web Design’s current price list at the date of order acceptance or as agreed in writing.

HOSTING

PCP Web Design will quote a separate annual price for hosting and associated technical support for Customer websites. We will use our best efforts, in conjunction with the HPC, to rectify any disruption in the hosting service and minimize its duration.

PCP Web Design will not be liable for any compensation in respect of any downtime.

We will keep a separate cloud backup of all Customer website files and, in the event of a technical failure, will reinstate the website as quickly as possible.

Regular backups of online websites and SQL Server databases are maintained. In case of hard drive failure, these will be restored or reconnected.

Customers must retain a copy of any images or download files they upload to their website. PCP Web Design will assist with re-uploading files if backups are not available.

If a Customer wishes to move their website to another server, PCP Web Design will cooperate, subject to full payment of outstanding amounts and a negotiated fee for the intellectual copyright of the source code.

EMAIL SERVICES

PCP Web Design provides email services using leading-edge software. The number and size of mailboxes depend on the SLA/PCP Package subscribed to. Additional mailboxes and increased storage sizes are available upon request at additional annual costs.

All incoming and outgoing emails are checked for viruses before delivery. PCP Web Design shall not be liable for any damages resulting from emails containing viruses. It is recommended that Customers install their own anti-virus software.

We are not liable for any interruption or termination of the email service. We will troubleshoot email problems and charge for non-omission-related issues in accordance with Clause 11 (Hourly Rate Charges and Pricing).

Limited support for email configuration on mobile devices is provided. Ultimately, this responsibility lies with the network provider or handset/tablet manufacturer.

DOMAIN NAMES

PCP Web Design shall not be liable for errors made by domain name authorities/registration agents. Customers cannot cancel domain names once registered and must pay renewal fees on time to avoid expiration.

Domain transfers incur a £25 charge per domain.

SEO SERVICES

SEO work begins upon receipt of payment. SEO contracts require 30 days’ notice for cancellation. If payment is not received, optimization will cease until payment is made, potentially affecting search engine performance. SEO payments are non-refundable. PCP Web Design does not guarantee specific rankings and is not liable for SEO work performed without our recommendation or knowledge.

PROJECT COMMENCEMENT/FULFILMENT

Work on a Project will commence when all requested information is provided. Projects will not be set live until all balances are settled in full or an agreed payment plan is in place.

PROJECT CREDITS

PCP Web Design reserves the right to use Customer websites and results as examples or case studies. Accreditation will be placed on the footer of Customer websites unless otherwise agreed. Removal of this credit incurs a £200 charge. If hosting is moved, the credit must remain intact.

CONTENT/COPYWRITING SERVICES

PCP Web Design is not responsible for the accuracy of content/copy produced for the Customer. It is the Customer’s responsibility to ensure accuracy. Content/copy may not be used for other purposes without permission. Unauthorized use requires repurchase at the original cost.

THIRD-PARTY PRODUCTS AND SERVICES

PCP Web Design offers third-party services to enhance website performance. We are not liable for interruptions, non-performance, or cancellations by third parties. Security compromises in third-party services will result in immediate suspension. Disruptions due to browser or system updates are not our liability.

SEARCH ENGINE RESULTS WITHOUT ONGOING SEO

PCP Web Design designs websites to perform well in search engines. Customers without ongoing SEO packages may not achieve the same results as those with such packages. We accept no responsibility for rankings achieved or how they may vary over time.

INVOICING & PAYMENT TERMS

Our standard payment terms are 14 days from the date of invoice. We may split large projects into monthly invoices payable by Direct Debit. All projects with more than 3-month payment plans require Direct Debit payments. Work will not commence until a deposit is paid in full and/or a Payment Agreement is made.

Failure to make a payment will incur a £15 non-refundable administration fee. Unpaid cheques also incur a £15 fee. We reserve the right to disable services for outstanding payments.

PERFORMANCE

PCP Web Design ensures the quoted specification works as intended. Issues reported outside the project specification will be investigated and quoted if appropriate.

LIABILITY AND DAMAGES

PCP Web Design is not liable for delays, performance issues, copyright infringement, or legality of website content. We are not liable for weak passwords or poor storage of access credentials by the Customer. Our liability is limited to direct loss or damage caused by our negligence.

TERMINATION AND CUSTOMER DEFAULT

If the Customer does not pay an invoice within 30 days, PCP Web Design has the right to suspend work. Hosting services will be suspended for unpaid invoices. In cases of insolvency or liquidation

, PCP Web Design can terminate the Contract immediately and retain any Customer property until all balances are cleared.
